1. Acceptance of Terms

By creating an account or subscribing to any Flock State plan, you ("Customer") agree to be bound by these Terms & Conditions ("Terms"). If you are agreeing on behalf of a church or organization, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Flock State is a multi-campus church analytics and reporting platform that helps ministry leaders track attendance, giving, people-movement metrics, and other key health indicators across one or more church locations ("Service"). Features available to you depend on the subscription tier you select.

3. Accounts & Registration

You must provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@flockstate.com if you suspect unauthorized access.

4. Subscription Plans & Billing

4.1 Plan Tiers. Flock State offers monthly and annual subscription plans across multiple tiers (Tier 1, Tier 2, Tier 3, and Enterprise). Plan limits and features are described on our Pricing page and are subject to change with reasonable notice.

4.2 Free Trial. New subscribers receive a 3-month free trial. A valid payment method is required to start the trial. On monthly plans, the card on file is not charged during the trial; billing begins at the standard monthly rate when the trial ends, with no additional discount, unless the subscription is canceled before then. On annual plans, the first year is billed up front and covers the 3 free trial months plus the remaining 9 months at 15% off the standard rate. Flock State may change or withdraw the free trial for new sign-ups at any time.

4.3 Annual Renewal Loyalty Discount. Customers who remain on an annual billing plan at the time of renewal will automatically receive a 15% discount applied to their standard annual rate for each subsequent renewal year. This loyalty discount is available only while the subscription remains active and on annual billing. If a customer switches to monthly billing or cancels and re-subscribes, the loyalty discount is forfeited and does not apply upon re-enrollment.

4.4 Payment. Subscriptions are billed in advance via Stripe. By providing a payment method, you authorize Flock State to charge that method for your selected plan on each billing cycle. All fees are in U.S. dollars and are non-refundable except as required by law or as stated in Section 7.

4.5 Price Changes. We reserve the right to adjust pricing with at least 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.

5. Promotional Codes

Flock State may, at its sole discretion, offer promotional codes that discount or waive subscription fees. Promotional codes are non-transferable, may be time-limited, and may be revoked. Unless a code states otherwise, a valid payment method is still required to start a subscription.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable regulations.
Attempt to gain unauthorized access to any part of the Service or its infrastructure.
Scrape, reverse-engineer, or reproduce the Service's code, design, or data.
Resell or sublicense access to the Service without written consent from Flock State.
Upload data that infringes on the intellectual property rights of any third party.

7. Cancellation & Refunds

You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; no partial refunds are provided for unused time. If you experience a billing error or are charged incorrectly, contact us within 30 days and we will investigate and issue a correction if warranted.

8. Data & Privacy

Your church data belongs to you. We do not sell, share, or use your congregation's data for any purpose other than providing and improving the Service. We implement industry-standard security measures to protect your data. By using Flock State, you consent to our collection and processing of data as described in our Privacy Policy.

9. Intellectual Property

Flock State and all associated logos, software, content, and designs are the intellectual property of Flock State LLC. Nothing in these Terms transfers ownership of any intellectual property to you. You retain full ownership of all data you submit to the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Flock State shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability shall not exceed the amount you paid to us in the three months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you via email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
